I. DEFINITIONS:

In this Agreement, the following capitalized terms, unless otherwise defined, shall have the meanings set forth below:

1. “Campaign” refers to the fundraising initiative launched by a Partner Event on the Cinevite Pledge Platform for the purpose of raising funds for Title Owners’ projects.

2. “Title Owner” refers to the individual or entity that owns the rights to a film or project (referred to as the “Title”) and is responsible for fundraising for their Title through the Campaign.

3. “Event” refers to the film festival or similar event organized by a Partner Event where Titles are showcased.

4. “Platform” refers to the Cinevite Pledge Platform provided by Cinestruct, LLC, which is an online fundraising platform used by Partner Events and Title Owners for launching and managing online crowdfunding for Titles at Events.

5. “Partner Event” refers to the film festival organization or entity that has been pre-approved by Cinestruct, LLC to use the Platform for launching and managing a Campaign associated with their Event.

6. “User Account“ refers to the digital account provisioned by Cinestruct, LLC to allow an individual or entity to access features and services provided by Cinestruct, LLC.

7. “Sponsor” refers to any individual, group, or entity that pledges financial support to a Title through a Campaign on the Platform.

8. “Partner Event Fee” refers to the portion of funds raised through a Campaign that is allocated to the Partner Event, as per the terms of this Agreement.

9. “Title Funding” refers to the portion of funds raised through a Campaign that is allocated directly to the Title Owner for the production, or promotion of the Title.

10. “Pledge” refers to a commitment made by a Sponsor to donate a specified amount of money to a Title through a Campaign.

II. JOINING A CAMPAIGN:

Upon accepting an invitation to Cinevite Pledge, you commence the enrollment procedure to join a Campaign to fundraise for your Title. The User Account joining the campaign is deemed the “Title Owner.” The inviting organization or entity is referred to as the “Partner Event.” Both the Title Owner and Partner Event, where applicable, are subject to the terms and conditions stipulated herein. To enroll, Title Owners must complete the requisite forms on the Cinevite platform and submit them for approval by Cinestruct. Approval criteria encompass clarity on the purpose of the Title's enrollment and accuracy of the information submitted about title, while refraining from content with explicit sexual imagery or extreme graphic violence.

Cinestruct retains exclusive discretion in sanctioning or rejecting any proposed Title or Campaign, free of any liability arising from its decision. You, as a Title Owner, agree to indemnify Cinestruct from any resultant liabilities or damages (inclusive of legal fees) due to such decisions.

III. TITLE OWNER RULES:

The following rules are applicable to Title Owners who hereby agree to be bound by same, in addition to all other rules and regulations applicable to Users under this Agreement:

A. Maintaining your campaign participation

1. A Title Owner must maintain throughout the course of participating in a campaign, an account in the Cinevite mobile app and hereby agree to receive emails from Cinestruct and be responsive to same. A Title Owner cannot change the name or related details of the title without the approval of Cinestruct.

2. Title Owners may not offer or sell securities, equity investments, ownership interests or distribution rights in their Titles through Cinevite Pledge. Pledges to Titles using Cinevite Pledge are limited as set forth in this Agreement. If a Title Owner plans to offer or is offering securities or equity investments in their Titles, whether under Regulation D of Securities Act of 1933 or otherwise, Cinestruct recommends that the Title Owner confer with their legal advisor regarding the propriety of joining a Campaign and seeking pledges through Cinestruct.

3. Title Owners are not permitted to offer any contest, competition, reward, giveaway, raffle, sweepstakes or similar activity (each, a “Promotion”) on or through Cinevite Pledge.

4. Title Owners may designate a legal entity to which funds will be directed, and any such entity will be included in the definition of Title Owner as used herein. By providing the name of any such entity to Cinestruct, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to the terms of this Agreement, that such entity is the legal entity responsible for the Title and accountable for the use of any funds raised for the Title on the Cinevite Pledge platform, that any such use will be appropriate and at all times in accordance with this Agreement, and that you accept this Agreement on such entity's behalf.

5. Payment processing services for Title Owner on Cinevite Pledge are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement or continuing to operate as a Title Owner on Cinevite Pledge, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Cinestruct enabling payment processing services through Stripe, you agree to provide Cinestruct accurate and complete information about you and your business, and you authorize Cinestruct to share it and transaction information related to your use of the payment processing services provided by Stripe.

6. Cinestruct shall have no liability for transactions or interactions with the third-party payment processor, including without limitation in any instance where a pledge has been made by a Sponsor and such Sponsor fails to pay such pledge in a timely manner if and when collection comes due. Title Owner understands and agrees to accept all risks associated with pledges that are made and that there is a risk that if and when such pledges come due for collection, the Sponsor may fail to make good on payment (even after funds have already been provided to Title Owner); any such failure shall in no event be Cinestruct’s responsibility, and Title Owner agrees not to and shall not seek any remedies or damages from Cinestruct with respect to such collections, and if applicable, shall return the disputed funds to Cinestruct or be debited for same on subsequent Campaigns as provided for hereinabove. Title Owner understands and agrees that recourse for any such failures may only be made by Title Owner directly against the Sponsor that failed to make good on their pledge.

7. Subject to the other provisions herein (including the repayment provisions provided below), Title Owners acknowledge and agree that funds pledged by Sponsors will only be released to them after the end of the Campaign set forth by the Partner Event. Funds will be released 10 business days after the end of the Campaign, unless there is additional verification required by Stripe.

8. By joining a Campaign, the Title Owner is offering the public the opportunity to enter into a contract with Title Owner to provide pledges to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

9. Cinestruct reserves the right to cancel a pledge at any time and for any reason. Cinestruct reserves the right to reject, cancel, interrupt, remove, or suspend a Title at any time and for any reason. Cinestruct is not liable for any damages as a result of any of the aforementioned actions.

10. Cinestruct makes no guarantee regarding the number or amount of pledges, or the amount of any Title Funding payout to be made to you or the Title under this Agreement.

11. Any Title Funding payout may be subject to verification of the identity of the Title Owner, the use of funds, and the legitimacy of the Title. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Title Owner agrees that Title Funding may only be used on behalf of the Title, and that Title Funding will not be used for any other purpose. Title Owner agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Title Owner or the legitimacy of the Title are not as represented on the Cinevite Pledge platform, or that the Title Funding has not been used solely on behalf of the Title, the Title Owner will promptly refund the entire amount of Title Funding to the Sponsors, including any fees deducted by Cinestruct.

12. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign participation and remove your Title from the Cinevite Pledge platform.

B. Payment Failures

Because of occasional failures of payments from Sponsors, Cinestruct cannot and does not guarantee receipt or validity of any amount(s) pledged or provided to Title Owner. Cinestruct is neither responsible nor liable for the failure of a Sponsor to pay any amount pledged to a Title, and has no responsibility to take action on behalf of Title Owners, Partner Events, or otherwise for collections of payments from Sponsors that do not fulfill their payment obligations at any time. PLEASE READ THE FOLLOWING IMPORTANT RULES AND REQUIREMENTS, TO WHICH TITLE OWNER AGREES TO BE BOUND:

FOR THE AVOIDANCE OF DOUBT, AND NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY, TITLE OWNER (AND NOT CINESTRUCT LLC OR ANY THIRD PARTY PROCESSING COMPANY WITH WHOM CINESTRUCT LLC DEALS, INCLUDING STRIPE) SHALL BE SOLELY AND ULTIMATELY RESPONSIBLE IF ANY PLEDGE IS DISPUTED AT ANY TIME, INCLUDING AFTER FUNDS HAVE BEEN TRANSFERRED TO TITLE OWNER.

IF A DISPUTE REGARDING A PLEDGE OCCURS, TITLE OWNER WILL BE NOTIFIED THAT A DISPUTE HAS BEEN FILED, AND WILL BE RESPONSIBLE FOR PROVIDING EVIDENCE TO ATTEMPT TO RESOLVE THE DISPUTE IN TITLE OWNER’S FAVOR. DEPENDING ON THE CARD ISSUER, DISPUTED FUNDS MAY BE IMMEDIATELY WITHDRAWN FROM THE STRIPE CONNECT ACCOUNT,  OR THE CONNECTED BACK ACCOUNT ALL IN ACCORDANCE WITH STRIPE’S TERMS OF SERVICE. IF DISPUTED FUNDS HAVE ALREADY BEEN TRANSFERRED TO TITLE OWNER, DURING THE TIME WHEN ANY DISPUTE IS ONGOING, TITLE OWNER AGREES NOT TO USE OR TRANSFER ANY OF THE FUNDS IN DISPUTE. IF THE SPONSOR’S DISPUTE IS FOUND VALID (WHICH MAY TAKE UP TO 60 DAYS OR LONGER), TITLE OWNER SHALL BE REQUIRED TO RETURN THE DISPUTED FUNDS TO CINESTRUCT LLC IMMEDIATELY UPON REQUEST FOR SAME.

CINESTRUCT LLC IS NOT A GUARANTOR OF ANY PLEDGES MADE, AND SHALL NOT BE LIABLE OR HELD RESPONSIBLE FOR ANY FAILURE BY A SPONSOR TO HONOR A PLEDGE, REGARDLESS OF WHEN SUCH FAILURE OCCURS. IF SUCH A FAILURE OCCURS, TITLE OWNER’S SOLE RECOURSE SHALL BE AGAINST THE SPONSOR THAT FAILED TO HONOR SUCH SPONSOR’S PLEDGE.

IF A TITLE OWNER MAKES A PLEDGE TO HIS/HER OWN PROJECT, TITLE OWNER MUST FULFILL THAT PLEDGE UPON THE SAME TERMS AS ANY OTHER SPONSOR.

C. When a Campaign is completed

1. Any Title Funding payout may be subject to verification of the identity of the Title Owner, the use of funds, and the legitimacy of the Title. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Title Owner agrees that Title Funding may only be used on behalf of the Title, and that Title Funding will not be used for any other purpose. Title Owner agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Title Owner or the legitimacy of the Title are not as represented on the Cinevite Pledge platform, or that the Title Funding has not been used solely on behalf of the Title, the Title Owner will promptly refund the entire amount of Title Funding to the Sponsors, including any fees deducted by Cinestruct. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign participation and remove your Title from the Cinevite Pledge platform.

2. Title Owner shall have full responsibility for applicable taxes for any Title Funding payout under this Agreement, and for compliance with all applicable labor and employment requirements with respect to your self-employment, sole proprietorship or other form of business organization, and with respect to your employees and contractors, including state worker's compensation insurance coverage requirements and any U.S. immigration visa requirements. Title Owner agrees to indemnify, defend and hold harmless Cinestruct from any liability for, or assessment of, any claims or penalties with respect to such withholding taxes, labor or employment requirements, including any liability for, or assessment of, withholding taxes imposed on Cinestruct by the relevant taxing authorities with respect to any Title Funding payout to you.

3. The Title Funding payouts that are distributed from Cinestruct to Title Owners may be taxable, and the Title Owner bears the responsibility to file income tax returns and to pay income tax on Title Funding if required. Cinestruct and/or the third-party payment processor, as applicable, will issue Form 1099 or Form 1099k to persons provided Title Funding as it deems appropriate under applicable laws. Each Title Owner is required to submit to Cinestruct a W-9 Form in order to enroll a Title. That form will reflect the full gross amount raised on the platform, Title Owners are advised to consult your tax advisor for more information on deducting site fees, credit card fees, etc; Cinestruct provides no tax or legal advice and none should be inferred by these Agreement or otherwise.

4. All pledges paid to a Title Owner will constitute “Title Funding," and the Cinestruct fee and all other Title Funding requirements will apply. CInestruct is not responsible for any error or omission in the payout information provided by a Title Owner. If fundraising is successful, Title Funding, less Cinestruct’s fee, Partner Event’s fee, and any third-party processing fees, will be disbursed to the Title Owner's bank account according to the Title’s disbursement details (as set by Title Owner through Stripe).

BY ACCESSING THE CINEVITE PLEDGE PLATFORM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT ACCESS THE CINEVITE PLEDGE PLATFORM.

8. “Title Funding” refers to the portion of funds raised through a Campaign that is allocated directly to the Title Owner for the production, or promotion of the Title.

9. “Pledge” refers to a commitment made by a Sponsor to donate a specified amount of money to a Title through a Campaign.

II. LAUNCHING A CAMPAIGN:

Onboarding an Event initiates the process to launch a Campaign for Title Owners to fundraise at your Event. The User Account used to onboard the Campaign becomes the Partner Event and is subject to terms and conditions defined below. Partner Events are pre-approved to use the Platform for their Campaign on receipt of a unique onboarding form for the Campaign from Cinestruct. The Partner Event must complete the onboarding form on the Platform to launch the Campaign. Pre-approval, approval or disapproval of a proposed Campaign is in the sole discretion of Cinestruct, and Cinestruct will incur no liability in connection with the pre-approval or disapproval of any proposed Campaign, and you agree to and shall indemnify and hold Cinestruct harmless for any and all liability and/or damage incurred by it (including reasonable attorneys’ fees and costs) resulting from such pre-approval or disapproval.

III. PARTNER EVENT RULES:

The following rules are applicable to Partner Events who hereby agree to be bound by same, in addition to all other rules and regulations applicable under this Agreement:

A. Maintaining your campaign

1. A Partner Event must provide and maintain throughout the course of participating in a Campaign a valid email address, so that Cinestruct and Title Owners can contact the Partner Event, and you hereby agree to receive emails from Cinestruct and be responsive to same. A Partner Event cannot change the title or related details of the Event without the approval of Cinestruct.

2. A Partner Events may designate a legal entity to which funds will be directed, and any such entity will be included in the definition of Partner Event as used herein. By providing the name of any such entity to Cinestruct, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to the terms of this Agreement, that such entity is the legal entity responsible for the Event and accountable for the use of any funds raised for the Event on the Platform, that any such use will be appropriate and at all times in accordance with this Agreement, and that you accept this Agreement on such entity's behalf.

3. Payment processing services for Partner Event on the Platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement or continuing to operate as a Partner Event on the Platform, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of the Platform enabling payment processing services through Stripe, you agree to provide Cinestruct accurate and complete information about you and your business, and you authorize Cinestruct to share it and transaction information related to your use of the payment processing services provided by Stripe.

4. Cinestruct shall have no liability for transactions or interactions with the third-party payment processor, including without limitation in any instance where a pledge has been made by a Sponsor and such Sponsor fails to pay such pledge in a timely manner if and when collection comes due. Partner Event understands and agrees to accept all risks associated with pledges that are made and that there is a risk that if and when such pledges come due for collection, the Sponsor may fail to make good on payment (even after funds have already been provided to Partner Event); any such failure shall in no event be Cinestruct’s responsibility, and Partner Event agrees not to and shall not seek any remedies or damages from Cinestruct with respect to such collections, and if applicable, shall return the disputed funds to Cinestruct or be debited for same on subsequent Campaigns as provided for hereinabove. Partner Event understands and agrees that recourse for any such failures may only be made by the Title Owner directly against the Sponsor that failed to make good on their pledge.

5. Subject to the other provisions herein (including the repayment provisions provided below), Partner Events acknowledge and agree that funds pledged by Sponsors (referred to as "pledges") will only be released to them after the end of the Campaign set forth by the Partner Event. Funds will be released 10 business days after the end of the Campaign, unless there is additional verification required by Stripe.

6. By launching a Campaign, the Partner Event is offering the public the opportunity to enter into a contract with Title Owners that enroll to join the Campaign to provide pledges to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

7. A Partner Event is the solely responsible for inviting Title Owners to enroll to a Campaign on the Platform and for the accuracy of the identity of the Title Owner. On inviting the Title Owner to a Campaign, the Partner Event certifies that the Name and Email Address of the Title Owner is accurate, and the Title is a participant in the Event associated with the Campaign. Cinestruct will incur no liability in connection with the identity of the Title Owner invited by the Partner Event.

8. Cinestruct reserves the right to cancel a pledge at any time and for any reason. Cinestruct reserves the right to reject, cancel, interrupt, remove, or suspend a Title at any time and for any reason. Cinestruct is not liable for any damages as a result of any of the aforementioned actions.

9. The Partner Event Fee shall be no more than 10% of any Pledge transaction.

10. Cinestruct makes no guarantee regarding the number or amount of pledges, or the amount of any Partner Event Fee payout to be made to you or the Partner Event under this Agreement.

11. Any Partner Event Fee payout may be subject to verification of the identity of the Partner Event and the legitimacy of the Event. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Partner Event agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Partner Event or the legitimacy of the Event are not as represented on the Platform, the Partner Event will promptly refund the entire amount of Partner Event Fee to the Sponsors, including any fees deducted by Cinestruct.

12. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign.

B. Payment Failures

IF DISPUTED FUNDS HAVE ALREADY BEEN TRANSFERRED TO PARTNER EVENT, DURING THE TIME WHEN ANY DISPUTE IS ONGOING, PARTNER EVENT AGREES NOT TO USE OR TRANSFER ANY OF THE FUNDS IN DISPUTE. IF THE SPONSOR’S DISPUTE IS FOUND VALID (WHICH MAY TAKE UP TO 60 DAYS OR LONGER), PARTNER EVENT SHALL BE REQUIRED TO RETURN THE DISPUTED FUNDS TO CINESTRUCT LLC IMMEDIATELY UPON REQUEST FOR SAME.

CINESTRUCT LLC IS NOT A GUARANTOR OF ANY PLEDGES MADE, AND SHALL NOT BE LIABLE OR HELD RESPONSIBLE FOR ANY FAILURE BY A SPONSOR TO HONOR A PLEDGE, REGARDLESS OF WHEN SUCH FAILURE OCCURS. IF SUCH A FAILURE OCCURS, PARTNER EVENT’S SOLE RECOURSE SHALL BE AGAINST THE SPONSOR THAT FAILED TO HONOR SUCH SPONSOR’S PLEDGE.

IF A PARTNER EVENT MAKES A PLEDGE TO A TITLE IN HIS/HER OWN CAMPAIGN, PARTNER EVENT MUST FULFILL THAT PLEDGE UPON THE SAME TERMS AS ANY OTHER SPONSOR.

C. When a Campaign is completed

1. Any Partner Event Fee payout may be subject to verification of the identity of the Partner Event and the legitimacy of the Event. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Partner Event agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Partner Event or the legitimacy of the Event are not as represented on the Platform, the Partner Event will promptly refund the entire amount of Partner Event Fee to the Sponsors, including any fees deducted by Cinestruct.

2. Partner Event may not extend the Campaign after the Campaign is completed and without the approval of Cinestruct.

3. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign.

4. Partner Event shall have full responsibility for applicable taxes for any Partner Event Fee payout under this Agreement, and for compliance with all applicable labor and employment requirements with respect to your self-employment, sole proprietorship or other form of business organization, and with respect to your employees and contractors, including state worker's compensation insurance coverage requirements and any U.S. immigration visa requirements. That form will reflect the full gross amount raised on the platform, Partner Events are advised to consult your tax advisor for more information on deducting site fees, credit card fees, etc; Cinestruct provides no tax or legal advice and none should be inferred by these Agreement or otherwise.

6. Cinestruct is not responsible for any error or omission in the payout information provided by a Partner Event. If fundraising is successful, Partner Event Fee, less Cinestruct’s fee, Title Funding, and any third-party processing fees, will be disbursed to the Partner Event’s bank account according to the Partner Event disbursement details (as set by Partner Event through Stripe).

IV. PARTNER EVENT CONDUCT

By using the Platform, you agree that you will not use it for anything that violates this Agreement or the law. You agree to only use the Platform in the ways it was intended for. You are responsible for all of your activity in connection with the Platform.

A. Your Actions and Content shall not, directly or indirectly:

1. Infringe any patent, trademark, service mark, trade secret, copyright, right of publicity, privacy right or other right of any other person or entity, or violate any applicable law or contract;

2. Be false, misleading, or inaccurate;

3. Be unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, tortious, obscene, offensive, profane, or invasive of another's privacy;

4. Constitute unsolicited or unauthorized advertising or promotional material or any junk mail, spam, or chain letters;

5. Contain software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password, or other information of Cinestruct or any third party;

6. Impersonate any person or entity, including any employee or representative of Cinestruct.

B. You agree not to tamper with the Platform by:

1. Taking any action that imposes or may impose (at Cinestruct’s sole discretion) an unreasonable or disproportionately large load on the infrastructure of Platform or its third-party providers;

2. Interfering or attempting to interfere with the proper working of the Platform or any activities conducted on the Platform;

3. Using any network monitoring or discovery software to determine the Platform’s architecture, or to extract information about usage or users;

4. Bypassing any measures We may use to prevent or restrict access to the Platform (or other accounts, computer systems, or networks connected to the Platform);

5. Deciphering, decompiling, disassembling, reverse engineering, or otherwise attempting to derive any source code or underlying ideas or algorithms of any part of the Platform, except to the limited extent applicable laws specifically prohibit such restriction and/or to the extent any such source code is open source;

6. Modifying, translating, or otherwise creating derivative works of any part of the Platform.

7. Copying, renting, leasing, distributing, or otherwise transferring any of the rights that you receive hereunder. You shall abide by all applicable local, state, national, and international laws and regulations.

V. LIMITATION OF LIABILITY

IN NO EVENT SHALL CINESTRUCT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE CINEVITE PLEDGE PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

VI. DISCLAIMER OF WARRANTIES

Cinestruct has no special relationship with or fiduciary duty to you of any kind whatsoever and specifically disclaims any such duties. You acknowledge that We have no duty to take any action regarding any of the following: (i) which Sponsors gain access to the Campaign; (ii) what Sponsors access through the Campaign; (iii) what effects the Campaign and related Titles may have on Sponsors; (iv) how Sponsors may interpret the Campaign and related Titles; or (v) what actions Sponsors may take as a result of having been exposed to the Campaign and related Titles.

THE CINEVITE PLEDGE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. CINESTRUCT, LLC, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK.

VII. GOVERNING LAW

This Agreement is governed by and construed in accordance with the laws of the state of California. Any disputes will be settled in Los Angeles County, California.

VIII. INTEGRATION AND SEVERABILITY

This Agreement is the entire agreement between you and Cinestruct with respect to the subject matter hereof (and thereof), and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Us and govern the future relationship between the parties hereto. If any provision (or portion thereof) of the Agreement are found to be unenforceable or invalid, such provision (or portion thereof) will be limited or eliminated to the minimum extent necessary so that the Agreement will otherwise remain in full force and effect and enforceable to the maximum legal extent. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

IX. CHANGES TO THIS AGREEMENT

Cinestruct reserves the right to modify this Agreement at any time, effective upon posting of an updated version of this Agreement on the Platform. You are responsible for regularly reviewing this Agreement.
BY CONTINUING TO USE THE CINEVITE PLEDGE PLATFORM AFTER ANY SUCH CHANGES, YOU ACCEPT THE AGREEMENT AS MODIFIED.

I. DEFINITIONS

In this Agreement, the following capitalized terms, unless otherwise defined, shall have the meanings set forth below:

1. “Campaign” refers to the fundraising initiative launched by a Partner Event on the Cinevite Pledge Platform for the purpose of raising funds for Title Owners’ projects.

2. “Title Owner” refers to the individual or entity that owns the rights to a film or project (referred to as the “Title”) and is responsible for fundraising for their Title through the Campaign.

3. “Event” refers to the film festival or similar event organized by a Partner Event where Titles are showcased.

4. “Platform” refers to the Cinevite Pledge Platform provided by Cinestruct, LLC, which is an online fundraising platform used by Partner Events and Title Owners for launching and managing online crowdfunding for Titles at Events.

5. “Partner Event” refers to the film festival organization or entity that has been pre-approved by Cinestruct, LLC to use the Platform for launching and managing a Campaign associated with their Event.

6. “Sponsor” refers to any individual, group, or entity that pledges financial support to a Title through a Campaign on the Platform.

7. “Pledge” refers to a commitment made by a Sponsor to donate a specified amount of money to a Title through a Campaign.

8. “Processing Fee“ refers to a mandatory service fee added to each Pledge transaction made by a Sponsor.

9. “Platform Fee“ refers to an optional fee that can be added to or removed from each Pledge transaction made by a Sponsor.

II. SPONSOR RULES

The following rules are applicable to Sponsors who hereby agree to be bound by same, in addition to all other rules and regulations applicable to Users under this Agreement:

A. Sponsoring a Title

1. Cinestruct provides Users the opportunity to make Pledges to any Title listed on the Cinevite website during its designated Campaign. The User that makes a Pledge is deemed the “Sponsor.“

2. Sponsors agree to provide their payment information at the time they pledge to a Title as required by Cinestruct and/or any Cinestruct approved third-party payment processors (such as Stripe).

3. A Sponsor can make a Pledge in an amount no greater than $500.00 per transaction. At the time when the Pledge is made, a third-party payment processor will add the Sponsor’s required credit card, or debit card, or other payment information to its payment system, as applicable.

4. Sponsors agree to authorize Cinestruct and it’s third-party payment processors to charge on Sponsor’s payment card or other payment method for an amount up to the full pledge plus any associated fees immediately upon submission of the Pledge and to have sufficient funds or credit available to complete the transaction.

5. By submitting a Pledge to a Title, the Sponsor is entering into a contract with Title Owner to provide a Pledge to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

6. Sponsors agree that all Pledges are made voluntarily and at the sole discretion and risk of the Sponsor.

7. Sponsors agree to bear the sole responsibility for determining how to treat their Pledge for tax purposes. Cinestruct does not offer any advice or take any responsibility for how Sponsors treat there Pledges or for any financial consequences arising out of such treatment.

8. Sponsors agree that a Pledge does not:

   1. Give the Sponsor any rights in or to the Title, including without limitation any ownership, control, equity, investment or distribution rights;

   2. Give the Sponsor any rights to limit the ability of the Title Owner to solicit other funding for the Title, enter into contracts for the Title, allocate rights in or to the Title or direct the Title or Title Owner in any way;

   3. Give the Sponsor any rights to view, distribute, license, or otherwise screen the Title.

   4. Give the Sponsor any rights to restrict or otherwise limit Cinestruct's right to enter into agreements or business relationships relating to Titles, or provide the Sponsor any rights in and to Cinestruct, Cinevite, or Cinevite Pledge. The only rights provided to the Sponsor upon making a Pledge are as specifically set forth herein.

   5. Grant the Sponsor any rights to demand a refund from Cinestruct, the Partner Event, or the Title Owner.

9. Cinestruct reserves the right to cancel a Pledge at any time and for any reason.

B. Refund of Pledges

1. Sponsors acknowledge and agree that once a Pledge is made to a Title on the Cinevite website, it is final and non-refundable. This policy is applicable regardless of the outcome, success, or failure of the specific Title to which the Pledge was made.

2. Sponsors understand that making a Pledge carries inherent risks, including but not limited to the risk that the Title may not reach its funding goal or may not meet the Sponsor's expectations. Sponsors agree that these risks are borne solely by the Sponsor, and that these factors do not entitle the Sponsor to any refund.

3. While Cinestruct reserves the right to cancel a Pledge at any time and for any reason, this cancellation does not imply a right to refund for the Sponsor. Cinestruct will make every effort to return the contributed amount to the Sponsor in the event of a Pledge cancellation.

C. Pledge fees

Every Pledge made by a Sponsor is subject to a required Processing Fee. This fee is imposed to cover the costs associated with processing the Pledge submission, including but not limited to transaction handling, payment processing, and operational expenses. The Processing Fee is payable by the Sponsor at the time of making the Pledge and is additional to the Pledged amount.

In addition to the Processing Fee, there is a Platform Fee associated with each Pledge. This Platform Fee is meant to support the operational costs of the Cinevite platform and is deducted from the pledged amount before it is paid out to the Title Owner.

1. Sponsors have the option to cover the Platform Fee themselves. By choosing to pay this fee, the Sponsor ensures that 100% of the Pledge is directed towards the Title, without any deductions for the Platform Fee. This option can be selected before the Sponsor finalizes their Pledge submission.

2. Before a Sponsor submits a Pledge, a detailed breakdown of the Processing Fee and the optional Platform Fee will be provided. This ensures that Sponsors are fully aware of the total cost of their Pledge, including how much of their contribution will go directly to the Title after fees are applied.

3. Upon submission of a Pledge, the Sponsor will receive a confirmation detailing the total amount charged, including the Pledge amount, Processing Fee, and any Platform Fee covered by the Sponsor. This confirmation serves as a receipt of the transaction and a record of the Sponsor’s contribution.

4. The Processing Fee, once paid by the Sponsor, is non-refundable, irrespective of any Pledge cancellations. Sponsors acknowledge and agree that the Processing Fee is part of the cost of participating in the funding process on Cinevite Pledge.

D. Sponsor recognition

Upon submission of a Pledge, the amount pledged by a Sponsor will be displayed publicly on the Cinevite website. This is to acknowledge the contributions made by Sponsors to Titles and to promote transparency in the funding process.

1. If a Sponsor wishes to remain anonymous, they must select the option to 'Sponsor anonymously' before submitting their pledge. Once this option is selected, the Sponsor’s name will not be publicly associated with the Pledge amount displayed on the website.

2. Sponsors have the option to display a message publicly with their contribution. Cinestruct reserves the right to review and remove any messages that are deemed inappropriate, offensive, or in violation of the terms of this Agreement or any applicable laws.

3. Sponsors agree that all messages displayed with their Pledge will not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable material. Sponsors are solely responsible for the content of their messages.

4. Sponsors have the option to make a Pledge on behalf of another person or entity. In doing so, Sponsors must agree and ensure that they are truthfully representing that the Pledge is made in the name of the stated person or entity. Misrepresentation in this regard may lead to the cancellation of the Pledge and potential legal action.

5. By choosing to display a message or make a Pledge in the name of another person or entity, Sponsors acknowledge that this information will be publicly displayed on the Cinevite website and may be accessible to other users and the general public.

6. Cinestruct reserves the right, at its sole discretion, to refuse or remove any Sponsor recognition, including messages or mentions, that it deems inappropriate, misleading, offensive, or in violation of any terms of this Agreement or applicable laws.

IN NO EVENT SHALL CINESTRUCT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF CINEVITE PLEDGE PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

IV. DISCLAIMER OF WARRANTIES

THE CINEVITE PLEDGE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. CINESTRUCT, LLC, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK.

V. GOVERNING LAW

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE CINEVITE SOFTWARE APPLICATION (“APP”) OR THE CINEVITE PLEDGE PLATFORM. THIS AGREEMENT GOVERNS YOUR USE OF THE APP AND CINEVITE PLEDGE PLATFORM PROVIDED BY CINESTRUCT, LLC ("CINESTRUCT" OR "WE").

BY DOWNLOADING OR USING THE APP OR ACCESSING THE CINEVITE PLEDGE PLATFORM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD OR USE THE APP OR ACCESS THE CINEVITE PLEDGE PLATFORM.

I. LICENSE: Cinestruct grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App and access the Cinevite Pledge platform for your personal and commercial use in accordance with this Agreement.

II. RESTRICTIONS: You agree not to, and will not permit others to license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App, the Cinevite Pledge platform, or make either available to any third party.

III. PRIVACY: By using the App or the Cinevite Pledge platform, you acknowledge and agree that Cinestruct may collect and use information to provide services and as otherwise described in our Privacy Policy.

IV. USER CONDUCT: As a condition of your use of and access to the Cinevite app or the Cinevite Pledge platform, you agree to comply with all applicable laws and regulations and not to use either for any purpose that is prohibited by these terms. This includes, but is not limited to the following:

A. You may not upload, post, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.

B. You may not harm, harass, threaten, or impersonate other Cinevite users or any other individuals.

C. You may not upload, post, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

Violation of these terms may lead to immediate termination of your account, without any notice. Cinestruct, LLC also reserves the right to take any appropriate legal action.

VI. INTELLECTUAL PROPERTY: All right, title, interest, and intellectual property rights in and to the App, the Cinevite Pledge platform (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into either), are owned by Cinestruct or its suppliers. You may not copy or distribute the App, the Cinevite Pledge platform, or any part thereof, in any manner or form, without the express prior written consent of Cinestruct.

VII. TERM & TERMINATION: This Agreement shall remain in effect until terminated by you or Cinestruct. Cinestruct may, in its sole discretion, at any time and for any reason, terminate your use of the App or the Cinevite Pledge platform, or terminate this Agreement, without prior notice.

VIII. DISCLAIMER OF WARRANTIES: YOU ACKNOWLEDGE AND AGREE THAT THE APP AND THE CINEVITE PLEDGE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CINESTRUCT HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND THE CINEVITE PLEDGE PLATFORM, EITHER EXPRESS, IMPLIED OR STATUTORY.

IX. LIMITATION OF LIABILITY: IN NO EVENT SHALL CINESTRUCT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR THE CINEVITE PLEDGE PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

XI. GOVERNING LAW: This Agreement is governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws rules.

XII. SEVERABILITY: If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

XIII. CHANGES TO THIS AGREEMENT: Cinestruct reserves the right to modify this Agreement at any time, effective upon posting of an updated version of this Agreement on the App or the Cinevite Pledge platform. You are responsible for regularly reviewing this Agreement.
BY CONTINUING TO USE THE APP OR THE CINEVITE PLEDGE PLATFORM AFTER ANY SUCH CHANGES, YOU ACCEPT THE AGREEMENT AS MODIFIED.
