These changes are designed to make Cinevite more open and as flexible as possible for filmmakers to use. At the same time, the platform provides tremendous value leading up to and during events where their films are featured.

Filmmakers can now use Cinevite from their project’s inception through to the end of their festival run to discover and connect with collaborators, promote themselves, and raise funds at any stage of their project’s lifecycle.

With this new chapter, we’re also saying goodbye to the Cinevite mobile app so filmmakers can access the most valuable features Cinevite has to offer on any device without distracting legacy features.

We can’t wait for filmmakers to take advantage of the changes we’ve made to Cinevite. We built this platform because we believe there is tremendous opportunity to support filmmakers as they navigate the complexities involved in successfully showcasing their projects. These changes moves us closer to meeting that opportunity.

As we shift development focus to the new platform we’re building, we will be applying all that we’ve learned so far with Cinevite and we want to continue learning from the independent filmmaking community. To that end, we welcome any feedback you have on the Cinevite platform and we’ll be reaching out in the coming weeks and months to get your feedback on what we’re building.

If there was any reverence for cinema, people are now pissing that away. I call the pissers "miscreants of cinema." If you've seen a movie at a multiplex sometime in the past 15 years, you know what I'm talking about. The war to get teens and grown folk who act like teens to not have full-blown conversations, to not talk on their phones, to not text on their phones, while watching a movie in a theater...that war has been raging for years now. And it is uncertain which side is winning. What's troubling is that some of this disrespect for cinema has been coming to indie screenings and festivals. I'll come back to that in a bit.

I must say that in my theater travails lately I've noticed less of this behavior. It's probably been over a year since I've had to tell a group of teens to keep it down when they decided to break into full-blown convo mode during a movie. Speculating, there are two things going on here for the decrease in the trend.

First, location and price. I live in NoHo and most frequently see films at the Burbank 16 or, less frequently, at AMC Universal. This part of town is filled with people that make movies, aspire to make movies for a living, know people that work in the field, or are movie nerds. Inherently there is a little bit more respect for cinema here than in the average town.

I also tend to go to the pricier screening options these days when I see a film: IMAX, or Dolby, or the upscale option each theater chain has available. The miscreants typically (though not exclusively) tend to not want to pay extra to not watch a movie. Luckily, chains offer subscriptions like AMC Stubs so I can actually afford to go to these pricier screening options which would otherwise cost $20 to $26 a pop.

Second, I think the miscreants just aren't going to movies as often. For better or worse (worse for the industry), people are attending theaters less frequently. This decline stems partly from high ticket prices and partly from shorter attention spans conditioned by TikTok and Instagram's dopamine-heavy content. Movie studios share some blame for this trend by producing less compelling content. As a result, going to a theater to watch a movie has become less of a cultural norm than it was in previous decades. Predictably, miscreants only participate in activities that their social groups value.

I've spent a lot of time here droning on about the multiplex, but that really was just to set a point of reference for miscreant behavior. What I'm seeing and hearing about is a lesser offensive, but still disappointing behavior from filmgoers in independent film spaces—spaces like local indie screening events and film festivals.

I had a recent convo with a festival director friend and we got onto the topic of theater-goer behavior. He started describing something troubling that he noticed at the recent edition of his festival. During a screening block of short films, a huge group of attendees decided to get up and leave in the middle of the program. Why? Because the short they came to see just finished up and they didn't care to stay to see the rest of the shorts in the block or participate in the Q&A at the end of the block.

This behavior exemplifies what I call "miscreant" conduct. It disrupts the viewing experience for audience members trying to watch subsequent films and fundamentally undermines the purpose of film festivals. Festival programmers carefully curate short film blocks, thoughtfully arranging them by tone, quality, and genre to create a cohesive viewing experience. For short filmmakers especially, the value comes from diverse audiences—people who didn't specifically come to see their work—experiencing their films. When viewers only stay for films they already know about or made by people they know, filmmakers lose the benefit of genuine, unbiased reactions. This cross-pollination of audiences and films is precisely what makes festivals valuable and distinct from streaming services.

This wasn't an isolated incident. According to my friend, box office staff regularly fielded requests from patrons wanting discounted tickets to see just one short film within a program block. Such requests fundamentally misunderstand the festival format—it's comparable to asking for a discount because you only want to watch one scene from a feature film.

This attitude is particularly disheartening in festival contexts, where the entire point is discovery and exploration. Festivals exist to introduce audiences to unexpected gems, to inspire through unfamiliar work, and to foster connections between diverse film communities. Sadly, it appears that even independent festivals—traditionally havens for cinematic appreciation—cannot escape the broader erosion of our collective cultural attention.

I believe this behavior directly results from our culture's shift toward on-demand, buffet-style media consumption. Streaming platforms like Netflix have conditioned audiences to expect complete control over their viewing experience—watch what you want, skip what you don't, all on your own schedule and terms. This mentality has apparently followed people out of their living rooms and into traditional cinema spaces, where viewers now expect the same customized experience despite the fundamentally different context.

This trend damages media literacy too, as my festival director friend pointed out. When viewers exclusively consume content they're already familiar with, they fail to develop the ability to recognize and appreciate techniques and elements from diverse genres. Consequently, filmmakers must include more explanatory material to help audiences understand complex narratives and story structures. I expect this problem will intensify as younger generations, raised in algorithmic content bubbles, reach adulthood. The unwillingness to sit through even a few different short films at a festival signals a troubling narrowing of cultural perspective.

Disturbingly, I've observed this same disrespectful behavior among filmmakers themselves. At a recent local screening event in Los Angeles—essentially a mini film festival featuring multiple films across two blocks—I witnessed something particularly disappointing. A group of filmmakers whose work screened early in the first block immediately left the venue after their film ended. Their only return? At the very end, just in time to see if they'd won any awards.

This unwillingness to watch their peers' work reveals much about their character as artists. Their disinterest in learning from fellow filmmakers or supporting the community demonstrates precisely the kind of self-serving, hyper-individualistic mindset threatening independent cinema's future. This cultural shift toward selfishness must be reversed if independent film is to survive and thrive.

My hope is that at least for the independent film scene we can have a respectful culture. Respecting the artists, respecting the hard work. And respecting the promise of what cinema can do for the world.

Hailing from the Baltimore club scene, TEDRA has produced music that has been featured in notable series such as “Insecure” and “Rap Sh!t.” Her collaborators include Alicia Keys, for whom she directed the YouTube Original series “NOTED: Alicia Keys The Untold Stories.” She was a featured artist in “Uncharted,” a documentary and Official Selection at the 2023 Tribeca Film Festival. Her own documentary feature, “Dark City Beneath The Beat” was an Official Selection at SXSW, previously distributed to Netflix, and is making its FAST premiere on TUBI.

For her Virtual Community Event, TEDRA will be discussing her upcoming documentary series, “DENIM,” and having a conversation about the importance of inclusive stories centered around LGBTQIA+ in Hollywood.

Some time ago, a few friends and I had the pleasure of getting a personal tour of Walt Disney Animation Studios in Burbank. It was my first time there and it was incredible peering into the past to see the behind-the-scenes of some of the most important animated films in history - films like Dumbo, Cinderella, Sleeping Beauty, and more. However, the focus of this tour wasn’t those classic animated films or the office of the infamous Walt Disney who produced them. The person giving the tour worked in the localization department on the studio lot. In many ways, what she explained about the work her team did was as interesting as learning how those old animated films got made.

The Global Reach of Hollywood

We don’t often consider how people outside our borders consume the media that is created here in the states. But Hollywood is an international industry with incredible cultural reach.  The first thing we think of when considering international distribution is subtitling. But at the studio level that is no more than the base necessity. Content changes are sometimes needed to align with regional requirements - we see this with some of the big blockbuster movies that are distributed to countries like China. Timing of release is also very important.

How the films are marketed internationally are as important as those considerations. This part was the focus of our tour and it was eye opening. At the studio level, when a film is distributed to other regions, how the film is messaged has to be specifically tailored to those target media markets. This means, in some cases, rebuilding marketing collateral for a film from the ground up several times over - from trailers, to posters, to ads, and more! This is a massive effort, and for me it brought clarity to why studio films can end up costing far more in marketing costs than production costs. It’s this kind of investment that turns actors and actresses into stars and makes Hollywood the capital of commercial filmmaking.

A Blind Spot for U.S. Independent Filmmakers

In the United States, a lot of independent and up-and-coming filmmakers tend to have a very America centric view of filmmaking and film distribution. I can attest to this myself. When I completed my last and previous short films, submitting to international film festivals was an afterthought. Yes, I have submitted my films to the Cannes Film Festival with fingers crossed, as almost every independent filmmaker does. Beyond that, I didn’t give international festivals serious consideration. The cost of travel to foreign festivals is prohibitively high, especially after wrapping production. We would be stuck in production longer with additional requirements and costs for localizing the films. We have limited knowledge of the international independent scene so it’s hard to know which festivals are most appropriate to submit to.

While I haven’t submitted my past films to many international film festivals, in my experience attending festivals here in the states, I’ve found the reverse to be true of international filmmakers. They are very willing to submit their films to U.S.-based film festivals. And they are often in attendance at these festivals. I saw this earlier this year when we partnered with Short. Sweet. Film Fest. to have Cinevite Pledge at the festival. A significant amount of films were from international filmmakers.

The Benefits of Going Global

The approach these international filmmakers take is one that I believe U.S.-based independent filmmakers should consider adopting. The benefits of thinking globally about the film festival circuit are numerous and potentially game-changing for emerging artists. The U.S. market, while substantial, is just a fraction of the global audience for cinema. By targeting international festivals, filmmakers can exponentially increase the number of people who see their work. Moreover, the sheer number of international film festivals provides more opportunities for acceptance and screenings. Each festival acceptance means more eyes on a film and more chances to build a reputation in the industry.

Different countries and regions have their own unique cinematic traditions, preferences, and audience expectations. A film that might struggle to find its audience in the U.S. could resonate deeply with viewers in Europe, Asia, or South America. The story, style, or themes that seem commonplace in one market might be refreshingly novel in another. This cultural exchange goes both ways – American indie films often have a certain cachet overseas, viewed as windows into American life and culture that can be intriguing to international audiences.

Adapting the Hollywood Playbook

Taking a queue from what Disney does to localize their films internationally, the best way for indie filmmakers to be similarly effective is to adopt the approach of tailoring marketing and messaging to specific media markets. In practice, this might mean creating different materials for different regions and emphasizing aspects of the film that are likely to resonate with local audiences. While this level of customization might seem daunting, independent filmmakers today have powerful tools at their disposal that weren't available to previous generations. The internet and digital platforms like Cinevite will allow for targeted, cost-effective marketing campaigns that can reach niche audiences around the globe.

I remember when I was just starting to come up as a filmmaker. At the time, around 2008, Canon started releasing DSLR cameras with the ability to shoot video. This was a big deal for the amateur filmmaking community. Prior that, if a production wanted to shoot something that “looked like a film“, it would need to rent a film or a digital camera that cost 10s of thousands of dollars. Filmmakers, of course, would tell their stories with anything they could get their hands on that could capture the moving image. However, the video DSLR represented something new and different. It represented the real start of the democratization of filmmaking. Today, anyone with a smart phone can mimic the aesthetic of film to some degree.

Surviving in a Shifting Media Landscape

We are at another inflection point. The media environment has changed and I believe that the best visual storytellers are no longer coming up through film. They are coming up and thriving, instead, on platforms like TikTok with little incentive to transition to the complexity and bureaucracy of filmmaking. We are in a distraction economy where there is a ubiquity of stories now told through video. It’s overwhelming and in a lot of ways it’s been most challenging for filmmakers. More than ever, whether it is in the indie space or even at the studio level, it is difficult to break through. With AI just around the corner, things will only continue to accelerate in this trajectory.

For filmmakers to succeed, much less survive in this media environment, they have to think outside the box and they have to think beyond the film. The reality is that even the most rare, talented, genius filmmaker will have a hard time breaking through. Filmmakers today do not have the luxury of being just great filmmakers, they have to be great promoters and marketers as well. This is not a new phenomenon. It’s always been this way. The difference now is the fierce competition for attention in our distraction economy.

"Alien Country" - A Blueprint for Success

There are indie filmmakers that are charting their own path to success. One example is the married duo Renny and Boston, directors of  "Alien Country," a sci-fi comedy. There are a few notable things Renny and Boston did to be effective. They capitalized on the audience they cultivated over years making YouTube videos, translating their online following into tangible support for their feature film. They recently concluded a highly effective crowdfunding campaign that focused on self-distribution, raising over $30,000 - triple their initial goal. Rather than just offering the film, they developed the "Alien Country Special Edition Party Box," which included not only the movie but also a making-of documentary, an art book, recipes inspired by the film, and even an original card game.

Unlike most film related crowdfunding campaigns, this particular campaign was not about developing the film and going into production - Renny and Boston had already done that hard work. Instead, the campaign was focused on how to most effectively self-distribute the film to loyal followers. By thinking beyond traditional distribution models and crafting innovative incentives, they demonstrated how independent filmmakers can create buzz, secure funding, and build a dedicated audience in today's crowded media landscape.

Introducing the Impact Toolkit

I bring up Alien Country because what Renny and Boston did to find success very much mirrors what Cinestruct is doing with the Cinevite platform to give all indie filmmakers the tools and resources they need to be similarly successful. This comes in the form of the Impact Toolkit. The Parallels Between Political Campaigns and Film Promotion

At their core, both political campaigns and film promotion share a common goal: to raise awareness and inspire people to take action. In politics, it's about presenting a candidate's vision and motivating people to vote. In filmmaking, it's about introducing your project's premise and enticing audiences to experience your story.

This concept of raising awareness is fundamental to a successful creative career, yet it's often neglected. We pour our hearts and souls into making our films and collaborating with cast and crew, but sometimes we forget that our responsibility extends beyond creation. We owe it to our work and our team to ensure our films reach the widest possible audience.

Learning from Political Conventions

The Democratic National Convention is in session this week and it is undeniably attention grabbing. While political conventions may seem like spectacles of propaganda, they're masterclasses in awareness-raising strategies. Here's what filmmakers can learn:

1. Creating Enthusiasm Explosions: These conventions act as catalysts, generating waves of enthusiasm that reach millions. Filmmakers can create similar events around their projects, building excitement and anticipation.

2. Defining Key Messaging: Political campaigns excel at crafting messages that resonate with their audience. Filmmakers should identify the core themes and unique selling points of their films and communicate them consistently.

3. The Power of Repetition: Campaigns hammer their messages home through repetition. While we don't want to be overbearing, consistent messaging about your film across various platforms can significantly increase recall and interest.

4. Taking the Campaign on the Road: Politicians understand the importance of reaching people directly. Similarly, filmmakers can benefit from film festival circuits, Q&A sessions, and local screenings to create personal connections with potential audiences.

By adopting these strategies, filmmakers can Make an Impact and significantly increase their projects' visibility and potential for success. Moreover, effective promotion doesn't just benefit a single project. It builds a filmmaker's brand, creating a snowball effect that can lead to more opportunities and a sustainable career in the industry.

Become a Promoter and Advocate for your Work

As creatives, our primary focus will always be on crafting compelling stories and bringing them to life on screen. However, by learning from the world of political campaigns, we can ensure that our hard work doesn't go unnoticed. By mastering the art of raising awareness, we not only honor the collaborative effort that goes into making a film but also maximize its potential impact on audiences.

So, the next time you find yourself dismissing a rally or political ad, take a moment to look beyond the rhetoric. There's a wealth of promotional wisdom waiting to be applied to your next creative endeavor. In independent filmmaking, being a great storyteller is just the beginning – becoming a great promoter is the key to turning your passion into a thriving career.

So, TUBI is suddenly a big deal in streaming. Who saw that coming? John Koblin of the New York Times just dropped an article about TUBI's unexpected climb to the top, and it's got us thinking about what this could mean for indie filmmakers.

TUBI's Unlikely Success

TUBI's formula is simple: free content, sprinkled with ads. It's basically the streaming version of channel surfing, complete with random fast food commercials popping up mid-show. And people are eating it up. Koblin reports that TUBI's now giving heavy hitters like Disney+ a run for their money in viewing time.

Here's where things get interesting. TUBI is now helmed by Anjali Sud, the former CEO of Vimeo. Remember Vimeo? Once upon a time, it was the cooler, artier cousin of YouTube where “real” filmmakers showcased their work.

But Sud got spooked by YouTube's dominance. Instead of doubling down on Vimeo's strengths and figuring out how to monetize all that creative content, she pivoted. Vimeo became a video management tool for businesses. Good for the bottom line, maybe, but it left independent filmmakers out in the cold.

A Second Chance at TUBITV

Now Sud's got the reins at TUBI, and she's finally in a position to compete with YouTube, at least in the streaming space. But here's the million-dollar question: Will she use this opportunity to make things right with the independent film community she left behind at Vimeo?

TUBI's already dipping its toes into original content. Koblin mentions they're not afraid of low-budget, off-the-wall stuff like "Slay," a movie about drag queens fighting vampires in a biker bar. That's exactly the kind of creative freedom indie filmmakers crave.

Plus, TUBI's got a diverse audience that's hungry for fresh content. This could be the perfect platform for underrepresented voices in film to reach a wider audience.

The Ball's in Sud's Court

So, Anjali Sud, what's it gonna be? You've got a chance to rewrite your legacy here. TUBI could become the new home for indie filmmakers, the place where creativity thrives without the pressure of massive budgets or star power.

Will you embrace the indie film community this time around? Or will TUBI just become another corporate streaming giant, leaving indie creators in the dust... again?

Streamlined Enrollment for Filmmakers

Enrolling films on the Cinevite platform and accepting sponsor contributions has become easier. We've established a direct enrollment process beyond the previous method of invitation-only. This change increases transparency and helps filmmakers better understand the benefits of enrolling their films with Cinevite.

Enhanced Sponsor Recognition

To further enhance the experience for pledge contributors, we've introduced a tiered recognition system for those making sponsor pledge contributions. Depending on the contribution amount, sponsors can now attain one of five recognition levels: Sponsor (base level), Super Sponsor, Elite Sponsor, Executive Sponsor, and Platinum Sponsor. Each contributor will see a tag displaying their respective level based on the pledged amount. The tag is prominently featured on the landing page of the related film, publicly acknowledging their support and generosity.

Leading the accolades, SOUND MIRAGE, co-directed by Georga Morgan-Fleming and José Herrera, captivated audiences at the festival. With $545 raised in pledge contributions, we are thrilled to award the film an additional $500 through the Cinestruct Matching Pledge Program. This gripping short film follows Mila and Frank's unsettling return from the San Bernardino desert, plunging viewers into a maze of deserted alleyways and an invisible force pulling them apart.

“We were able to really fundraise like this for the first time ever.” Morgan-Fleming shared. “And that's such an important and critical element to filmmaking at any level and a really very cool step for us in our career and the platform itself is super simple.”

Herrera added, “Filmmaking is really capital intensive. So, you know, any money really goes a long way and really helps us out, especially as we're an independent short film studio and we really value having creative independence in terms of what projects we get to choose.”

Green Humanity, directed by Garrett Miller, raised $205 in pledge contributions, matching every dollar through the Cinestruct Matching Pledge Program. This narrative of survival follows a young man who becomes lost in the woods with his only means of escape being the aid of a cunning hiker.

Miller expressed, “In our biggest case, we have already divvied up the funds that we've gotten from other people and from Cinevite … having that can go a long way and can make your films a lot better in ways that … you wouldn't even expect. So yeah, it's always good to have something like Cinevite in your corner.”

Olivia Dance's LICE offers a chilling glimpse into a dystopian society, raising $105 in pledge contributions, which were fully matched by the Cinestruct Matching Pledge Program. The film's haunting narrative and its commentary on human behavior and societal expectations resonates deeply.

“So funding is a big part of filmmaking, obviously. So the funds that I have received from Cinevite will be used in my further projects.” said Dance. “There is actually a short film that I'm working on currently and we are shooting in a couple of weeks, so this money will definitely be of great help for that project.”

Big George, directed by Jamie Effros, raised $95 in pledge contributions, with each dollar matched. The film delves into the life of a middle-aged actor struggling with identity and dreams in the wake of the Covid-19 pandemic.

Effros shared, “The funds are really just going to go towards being able to keep going to festivals, keep showing up and seeing people in person which is like the whole game and something that we missed out on really, really terribly during the pandemic.”

A Resounding Success at the Short. Sweet. Film Fest.

The 2024 Short. Sweet. Film Fest. not only showcased 300 short films, it marked a milestone with the introduction of Cinevite Pledge. With $1,000 collectively raised through the Cinevite Pledge campaign, the festival became a vibrant platform for supporting independent filmmakers. The Cinestruct Matching Pledge Program builds on that success with $905 in matching pledge funds.

As we look forward to future events in 2024, we are committed to opening more doors for independent filmmakers with Cinevite Pledge. Each awarded film is a testament to the resilience, creativity, and passion that defines independent cinema. Here's to many more stories to be told, supported by the vision and innovation from Cinestruct and the vibrant community it serves.

The 2024 Short. Sweet. Film Fest. wrapped on March 3, 2024 and we are proud that Cinestruct was able to bring Cinevite Pledge to the festival to support the filmmakers screening their films.

Forty films from the festival were enrolled and featured on the Cinevite platform, raising a collective $1,000 to meet the funding goal set by Short. Sweet. Film Fest. for their Cinevite Pledge campaign. The 2024 Short. Sweet. Film Fest. was also a participant in the Cinestruct Matching Pledge Program, providing even more value for participating filmmakers. Three films—SOUND MIRAGE, co-directed by Georga Morgan-Fleming and José Herrera, Green Humanity, directed by Garrett Miller, and Lice, directed by Olivia Dance—individually raised over $100 in pledge contributions. SOUND MIRAGE raised the most funding through Cinevite Pledge at the festival, bringing in $545 in pledge contributions.

Cinevite Pledge represents an innovation that gives filmmakers the maximum financial value they may get from screening their films at film festivals. It provides filmmakers the financial opportunity to bolster their film careers. The funds pledged to the films go a long way. Among the uses defined by the filmmakers for how the pledge contributions will be used, the funds will allow for “future projects to have higher quality, more possibility for distribution, [and aid for] crew compensation.” Cinestruct is excited to provide a pathway to support these and other use cases for pledged funds.

We also found immense opportunity for festivals to use the Cinevite Connect platform to better engage with filmmakers and others at the festival. The listing for the 2024 Short. Sweet. Film Fest. on the Cinevite Connect platform had over 40 followers - primarily filmmakers. This engagement represents a new and exciting way for festivals to engage with participating filmmakers using the extensive utilities available through the Cinevite Connect platform. We will continue to mature this area so that festivals can take advantage of this incredible opportunity.

Cinevite Pledge at the Short. Sweet. Film Fest. was a resounding success and is clear proof of the value that Cinevite provides to festivals and filmmakers alike. Of course, none of this success would have been realized without the commitment and vision from Mike Suglio and the rest of Short. Sweet. Film Fest. team. Their passion for supporting short film filmmakers is unparalleled. We are honored to have partnered with the festival and cannot wait to see what is in store for the next edition of the Short. We are thrilled to announce that the 2024 Short. Sweet. Film Fest. has been selected as a participant of our ambitious 2024 Matching Pledge Program! This selection marks a significant opportunity for filmmakers showcasing their films at the festival, offering a unique chance to amplify funding for their films through our innovative platform, Cinevite Pledge.

Cinestruct is allocating up to $1000 to award Official Selections of the 2024 Short. Sweet. Film Fest. that raise the most funding for their films through Cinevite Pledge. This award will give filmmakers the opportunity to double the amount of money they raise from sponsors of their films at the festival. It also gives sponsors the confidence that the contributions to their favorite films at the festival will be increased in impact and value.

We are excited to partner with Short. Sweet. Film Fest. to bring the matching pledge program to the event. Short. Sweet. Film Fest. is the largest shorts-only film festival in the city of Cleveland, Ohio, showcasing over 200 local, national, and international short films in its 12th year. The 2024 edition of the festival is expected to build on its reputation of being one of the most highly reviewed film festivals in the region.

The Cinestruct matching pledge awards and recipients will be announced at the end of the festival event once the Cinevite Pledge campaign for the 2024 Short. Sweet. Film Fest. is complete.

I. DEFINITIONS:

In this Agreement, the following capitalized terms, unless otherwise defined, shall have the meanings set forth below:

1. “Campaign” refers to the fundraising initiative launched by a Partner Event on the Cinevite Pledge Platform for the purpose of raising funds for Title Owners’ projects.

2. “Title Owner” refers to the individual or entity that owns the rights to a film or project (referred to as the “Title”) and is responsible for fundraising for their Title through the Campaign.

3. “Event” refers to the film festival or similar event organized by a Partner Event where Titles are showcased.

4. “Platform” refers to the Cinevite Pledge Platform provided by Cinestruct, LLC, which is an online fundraising platform used by Partner Events and Title Owners for launching and managing online crowdfunding for Titles at Events.

5. “Partner Event” refers to the film festival organization or entity that has been pre-approved by Cinestruct, LLC to use the Platform for launching and managing a Campaign associated with their Event.

6. “User Account“ refers to the digital account provisioned by Cinestruct, LLC to allow an individual or entity to access features and services provided by Cinestruct, LLC.

7. “Sponsor” refers to any individual, group, or entity that pledges financial support to a Title through a Campaign on the Platform.

8. “Partner Event Fee” refers to the portion of funds raised through a Campaign that is allocated to the Partner Event, as per the terms of this Agreement.

9. “Title Funding” refers to the portion of funds raised through a Campaign that is allocated directly to the Title Owner for the production, or promotion of the Title.

10. “Pledge” refers to a commitment made by a Sponsor to donate a specified amount of money to a Title through a Campaign.

II. JOINING A CAMPAIGN:

Upon accepting an invitation to Cinevite Pledge, you commence the enrollment procedure to join a Campaign to fundraise for your Title. The User Account joining the campaign is deemed the “Title Owner.” The inviting organization or entity is referred to as the “Partner Event.” Both the Title Owner and Partner Event, where applicable, are subject to the terms and conditions stipulated herein. To enroll, Title Owners must complete the requisite forms on the Cinevite platform and submit them for approval by Cinestruct. Approval criteria encompass clarity on the purpose of the Title's enrollment and accuracy of the information submitted about title, while refraining from content with explicit sexual imagery or extreme graphic violence.

Cinestruct retains exclusive discretion in sanctioning or rejecting any proposed Title or Campaign, free of any liability arising from its decision. You, as a Title Owner, agree to indemnify Cinestruct from any resultant liabilities or damages (inclusive of legal fees) due to such decisions.

III. TITLE OWNER RULES:

The following rules are applicable to Title Owners who hereby agree to be bound by same, in addition to all other rules and regulations applicable to Users under this Agreement:

A. Maintaining your campaign participation

1. A Title Owner must maintain throughout the course of participating in a campaign, an account in the Cinevite mobile app and hereby agree to receive emails from Cinestruct and be responsive to same. A Title Owner cannot change the name or related details of the title without the approval of Cinestruct.

2. Title Owners may not offer or sell securities, equity investments, ownership interests or distribution rights in their Titles through Cinevite Pledge. Pledges to Titles using Cinevite Pledge are limited as set forth in this Agreement. If a Title Owner plans to offer or is offering securities or equity investments in their Titles, whether under Regulation D of Securities Act of 1933 or otherwise, Cinestruct recommends that the Title Owner confer with their legal advisor regarding the propriety of joining a Campaign and seeking pledges through Cinestruct.

3. Title Owners are not permitted to offer any contest, competition, reward, giveaway, raffle, sweepstakes or similar activity (each, a “Promotion”) on or through Cinevite Pledge.

4. Title Owners may designate a legal entity to which funds will be directed, and any such entity will be included in the definition of Title Owner as used herein. By providing the name of any such entity to Cinestruct, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to the terms of this Agreement, that such entity is the legal entity responsible for the Title and accountable for the use of any funds raised for the Title on the Cinevite Pledge platform, that any such use will be appropriate and at all times in accordance with this Agreement, and that you accept this Agreement on such entity's behalf.

5. Payment processing services for Title Owner on Cinevite Pledge are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement or continuing to operate as a Title Owner on Cinevite Pledge, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Cinestruct enabling payment processing services through Stripe, you agree to provide Cinestruct accurate and complete information about you and your business, and you authorize Cinestruct to share it and transaction information related to your use of the payment processing services provided by Stripe.

6. Cinestruct shall have no liability for transactions or interactions with the third-party payment processor, including without limitation in any instance where a pledge has been made by a Sponsor and such Sponsor fails to pay such pledge in a timely manner if and when collection comes due. Title Owner understands and agrees to accept all risks associated with pledges that are made and that there is a risk that if and when such pledges come due for collection, the Sponsor may fail to make good on payment (even after funds have already been provided to Title Owner); any such failure shall in no event be Cinestruct’s responsibility, and Title Owner agrees not to and shall not seek any remedies or damages from Cinestruct with respect to such collections, and if applicable, shall return the disputed funds to Cinestruct or be debited for same on subsequent Campaigns as provided for hereinabove. Title Owner understands and agrees that recourse for any such failures may only be made by Title Owner directly against the Sponsor that failed to make good on their pledge.

7. Subject to the other provisions herein (including the repayment provisions provided below), Title Owners acknowledge and agree that funds pledged by Sponsors will only be released to them after the end of the Campaign set forth by the Partner Event. Funds will be released 10 business days after the end of the Campaign, unless there is additional verification required by Stripe.

8. By joining a Campaign, the Title Owner is offering the public the opportunity to enter into a contract with Title Owner to provide pledges to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

9. Cinestruct reserves the right to cancel a pledge at any time and for any reason. Cinestruct reserves the right to reject, cancel, interrupt, remove, or suspend a Title at any time and for any reason. Cinestruct is not liable for any damages as a result of any of the aforementioned actions.

10. Cinestruct makes no guarantee regarding the number or amount of pledges, or the amount of any Title Funding payout to be made to you or the Title under this Agreement.

11. Any Title Funding payout may be subject to verification of the identity of the Title Owner, the use of funds, and the legitimacy of the Title. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Title Owner agrees that Title Funding may only be used on behalf of the Title, and that Title Funding will not be used for any other purpose. Title Owner agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Title Owner or the legitimacy of the Title are not as represented on the Cinevite Pledge platform, or that the Title Funding has not been used solely on behalf of the Title, the Title Owner will promptly refund the entire amount of Title Funding to the Sponsors, including any fees deducted by Cinestruct.

12. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign participation and remove your Title from the Cinevite Pledge platform.

B. Payment Failures

Because of occasional failures of payments from Sponsors, Cinestruct cannot and does not guarantee receipt or validity of any amount(s) pledged or provided to Title Owner. Cinestruct is neither responsible nor liable for the failure of a Sponsor to pay any amount pledged to a Title, and has no responsibility to take action on behalf of Title Owners, Partner Events, or otherwise for collections of payments from Sponsors that do not fulfill their payment obligations at any time. PLEASE READ THE FOLLOWING IMPORTANT RULES AND REQUIREMENTS, TO WHICH TITLE OWNER AGREES TO BE BOUND:

FOR THE AVOIDANCE OF DOUBT, AND NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY, TITLE OWNER (AND NOT CINESTRUCT LLC OR ANY THIRD PARTY PROCESSING COMPANY WITH WHOM CINESTRUCT LLC DEALS, INCLUDING STRIPE) SHALL BE SOLELY AND ULTIMATELY RESPONSIBLE IF ANY PLEDGE IS DISPUTED AT ANY TIME, INCLUDING AFTER FUNDS HAVE BEEN TRANSFERRED TO TITLE OWNER.

IF A DISPUTE REGARDING A PLEDGE OCCURS, TITLE OWNER WILL BE NOTIFIED THAT A DISPUTE HAS BEEN FILED, AND WILL BE RESPONSIBLE FOR PROVIDING EVIDENCE TO ATTEMPT TO RESOLVE THE DISPUTE IN TITLE OWNER’S FAVOR. DEPENDING ON THE CARD ISSUER, DISPUTED FUNDS MAY BE IMMEDIATELY WITHDRAWN FROM THE STRIPE CONNECT ACCOUNT,  OR THE CONNECTED BACK ACCOUNT ALL IN ACCORDANCE WITH STRIPE’S TERMS OF SERVICE. IF DISPUTED FUNDS HAVE ALREADY BEEN TRANSFERRED TO TITLE OWNER, DURING THE TIME WHEN ANY DISPUTE IS ONGOING, TITLE OWNER AGREES NOT TO USE OR TRANSFER ANY OF THE FUNDS IN DISPUTE. IF THE SPONSOR’S DISPUTE IS FOUND VALID (WHICH MAY TAKE UP TO 60 DAYS OR LONGER), TITLE OWNER SHALL BE REQUIRED TO RETURN THE DISPUTED FUNDS TO CINESTRUCT LLC IMMEDIATELY UPON REQUEST FOR SAME.

CINESTRUCT LLC IS NOT A GUARANTOR OF ANY PLEDGES MADE, AND SHALL NOT BE LIABLE OR HELD RESPONSIBLE FOR ANY FAILURE BY A SPONSOR TO HONOR A PLEDGE, REGARDLESS OF WHEN SUCH FAILURE OCCURS. IF SUCH A FAILURE OCCURS, TITLE OWNER’S SOLE RECOURSE SHALL BE AGAINST THE SPONSOR THAT FAILED TO HONOR SUCH SPONSOR’S PLEDGE.

IF A TITLE OWNER MAKES A PLEDGE TO HIS/HER OWN PROJECT, TITLE OWNER MUST FULFILL THAT PLEDGE UPON THE SAME TERMS AS ANY OTHER SPONSOR.

C. When a Campaign is completed

1. Any Title Funding payout may be subject to verification of the identity of the Title Owner, the use of funds, and the legitimacy of the Title. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Title Owner agrees that Title Funding may only be used on behalf of the Title, and that Title Funding will not be used for any other purpose. Title Owner agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Title Owner or the legitimacy of the Title are not as represented on the Cinevite Pledge platform, or that the Title Funding has not been used solely on behalf of the Title, the Title Owner will promptly refund the entire amount of Title Funding to the Sponsors, including any fees deducted by Cinestruct. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign participation and remove your Title from the Cinevite Pledge platform.

2. Title Owner shall have full responsibility for applicable taxes for any Title Funding payout under this Agreement, and for compliance with all applicable labor and employment requirements with respect to your self-employment, sole proprietorship or other form of business organization, and with respect to your employees and contractors, including state worker's compensation insurance coverage requirements and any U.S. immigration visa requirements. Title Owner agrees to indemnify, defend and hold harmless Cinestruct from any liability for, or assessment of, any claims or penalties with respect to such withholding taxes, labor or employment requirements, including any liability for, or assessment of, withholding taxes imposed on Cinestruct by the relevant taxing authorities with respect to any Title Funding payout to you.

3. The Title Funding payouts that are distributed from Cinestruct to Title Owners may be taxable, and the Title Owner bears the responsibility to file income tax returns and to pay income tax on Title Funding if required. Cinestruct and/or the third-party payment processor, as applicable, will issue Form 1099 or Form 1099k to persons provided Title Funding as it deems appropriate under applicable laws. Each Title Owner is required to submit to Cinestruct a W-9 Form in order to enroll a Title. That form will reflect the full gross amount raised on the platform, Title Owners are advised to consult your tax advisor for more information on deducting site fees, credit card fees, etc; Cinestruct provides no tax or legal advice and none should be inferred by these Agreement or otherwise.

4. All pledges paid to a Title Owner will constitute “Title Funding," and the Cinestruct fee and all other Title Funding requirements will apply. CInestruct is not responsible for any error or omission in the payout information provided by a Title Owner. If fundraising is successful, Title Funding, less Cinestruct’s fee, Partner Event’s fee, and any third-party processing fees, will be disbursed to the Title Owner's bank account according to the Title’s disbursement details (as set by Title Owner through Stripe).

It’s also been humbling as we’ve had to put aside some assumptions we made at the onset of this exploration. With these learnings in mind, I want to share with you some updates we’ll be making to our products and operations as we look ahead to 2024.

Expanding Cinevite Pledge

This year we announced and launched the beta of Cinevite Pledge. We were blown away by the amount of inquiries we got from film festivals interested in learning more about how they could use Cinevite Pledge to support filmmakers and raise additional revenue for their events. The beta helped us collect valuable information to optimize Cinevite Pledge and ensure seamless use for festivals and filmmakers. We also saw areas we need to focus on as a company to give as much value as possible from this new opportunity.

I am excited to announce that we are making Cinevite Pledge core to Cinestruct’s operations and restructuring all our resources to support Cinevite Pledge.

In practical terms, this means a few things:

1. The Cinevite mobile app will be redesigned to prioritize giving filmmakers the utilities they need to successfully navigate their films through the film festival circuit and while doing so, raise funds with Cinevite Pledge. This represents our biggest change since we launched the Cinevite app in 2021. This redesign will be iterative and collaborative, with the first major deployment rolling out in Q1, 2024.

2. The Cinestruct matching pledge program will become central to our operations. In 2024, to celebrate the full launch of Cinevite Pledge, we are seeding the matching pledge program with up to $10,000 to support filmmakers with films screening in at least 10 participating film festivals in 2024. With the launch of the matching pledge program we are also starting two key initiatives for its long-term success:

   1. We are optimizing our fee structure to fund the matching pledge program directly from revenues.

   2. We’ll be kicking off outreach to create corporate and business partnerships to further grow the matching pledge fund. This will allow us to increase the number of filmmakers we’ll be able to support through this program.

Cinestruct Media

Cinestruct is developing video media to support Cinevite Pledge with the following goals:

1. Promote the festivals and filmmakers using Cinevite Pledge to broad audiences, starting with social media, and expanding promotion via tech and independent film blogs and regional press.

2. Curate an engaged and activated pool of sponsors that contribute, on a recurring basis, to films enrolled through Cinevite Pledge and featured by Cinestruct in media programming.

3. Create a feedback loop between Cinevite product development and Cinevite users.

We have lots of exciting plans to use media to promote and tell stories that support filmmakers, film festivals, and our initiatives with Cinevite. For example, in our media programming, we’ll be bringing on personalities to participate directly in the development of our platform.

We can’t wait to kick this off!

Discontinuing Cinevite Premiere and Cinevite Partner Services

To help us focus on the goals we’ve established for the future of Cinevite and Cinestruct, effective immediately, we are discontinuing the Cinevite Premiere and Cinevite Partner services. While we are sunsetting these services, the benefits and value they offered won’t be disappearing entirely. Much of what was offered from the Cinevite Premiere and Cinevite Partner services will be rolled into Cinevite Pledge at no cost!

We launched these services earlier this year, recognizing an opportunity to elevate the digital experience for small and medium-sized film festivals. Many of these festivals don't have the resources and time to provide a modern and connected app experience for their audience. Ultimately, most of the festivals we met with this year could not procure these services given the cost and their challenges raising enough funds to effectively put on their annual events. We listened to this feedback and built Cinevite Pledge to give film festivals a tool that is revenue generating instead of tool that is another cost center. And, as I shared above, we are moving full steam ahead in that direction.

We are so excited to be moving to this next phase in our journey with Cinevite and Cinestruct. 2023 has been a remarkable year for us. And we can’t wait to take everything we’ve learned and turn it into value that will help to keep film festivals and the independent film community thriving!

I. DEFINITIONS

In this Agreement, the following capitalized terms, unless otherwise defined, shall have the meanings set forth below:

1. “Campaign” refers to the fundraising initiative launched by a Partner Event on the Cinevite Pledge Platform for the purpose of raising funds for Title Owners’ projects.

2. “Title Owner” refers to the individual or entity that owns the rights to a film or project (referred to as the “Title”) and is responsible for fundraising for their Title through the Campaign.

3. “Event” refers to the film festival or similar event organized by a Partner Event where Titles are showcased.

4. “Platform” refers to the Cinevite Pledge Platform provided by Cinestruct, LLC, which is an online fundraising platform used by Partner Events and Title Owners for launching and managing online crowdfunding for Titles at Events.

5. “Partner Event” refers to the film festival organization or entity that has been pre-approved by Cinestruct, LLC to use the Platform for launching and managing a Campaign associated with their Event.

6. “Sponsor” refers to any individual, group, or entity that pledges financial support to a Title through a Campaign on the Platform.

7. “Partner Event Fee” refers to the portion of funds raised through a Campaign that is allocated to the Partner Event, as per the terms of this Agreement.

8. “Title Funding” refers to the portion of funds raised through a Campaign that is allocated directly to the Title Owner for the production, or promotion of the Title.

9. “Pledge” refers to a commitment made by a Sponsor to donate a specified amount of money to a Title through a Campaign.

II. LAUNCHING A CAMPAIGN:

Onboarding an Event initiates the process to launch a Campaign for Title Owners to fundraise at your Event. The User Account used to onboard the Campaign becomes the Partner Event and is subject to terms and conditions defined below. Partner Events are pre-approved to use the Platform for their Campaign on receipt of a unique onboarding form for the Campaign from Cinestruct. The Partner Event must complete the onboarding form on the Platform to launch the Campaign. Pre-approval, approval or disapproval of a proposed Campaign is in the sole discretion of Cinestruct, and Cinestruct will incur no liability in connection with the pre-approval or disapproval of any proposed Campaign, and you agree to and shall indemnify and hold Cinestruct harmless for any and all liability and/or damage incurred by it (including reasonable attorneys’ fees and costs) resulting from such pre-approval or disapproval.

III. PARTNER EVENT RULES:

The following rules are applicable to Partner Events who hereby agree to be bound by same, in addition to all other rules and regulations applicable under this Agreement:

A. Maintaining your campaign

1. A Partner Event must provide and maintain throughout the course of participating in a Campaign a valid email address, so that Cinestruct and Title Owners can contact the Partner Event, and you hereby agree to receive emails from Cinestruct and be responsive to same. A Partner Event cannot change the title or related details of the Event without the approval of Cinestruct.

2. A Partner Events may designate a legal entity to which funds will be directed, and any such entity will be included in the definition of Partner Event as used herein. By providing the name of any such entity to Cinestruct, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to the terms of this Agreement, that such entity is the legal entity responsible for the Event and accountable for the use of any funds raised for the Event on the Platform, that any such use will be appropriate and at all times in accordance with this Agreement, and that you accept this Agreement on such entity's behalf.

3. Payment processing services for Partner Event on the Platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement or continuing to operate as a Partner Event on the Platform, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of the Platform enabling payment processing services through Stripe, you agree to provide Cinestruct accurate and complete information about you and your business, and you authorize Cinestruct to share it and transaction information related to your use of the payment processing services provided by Stripe.

4. Cinestruct shall have no liability for transactions or interactions with the third-party payment processor, including without limitation in any instance where a pledge has been made by a Sponsor and such Sponsor fails to pay such pledge in a timely manner if and when collection comes due. Partner Event understands and agrees to accept all risks associated with pledges that are made and that there is a risk that if and when such pledges come due for collection, the Sponsor may fail to make good on payment (even after funds have already been provided to Partner Event); any such failure shall in no event be Cinestruct’s responsibility, and Partner Event agrees not to and shall not seek any remedies or damages from Cinestruct with respect to such collections, and if applicable, shall return the disputed funds to Cinestruct or be debited for same on subsequent Campaigns as provided for hereinabove. Partner Event understands and agrees that recourse for any such failures may only be made by the Title Owner directly against the Sponsor that failed to make good on their pledge.

5. Subject to the other provisions herein (including the repayment provisions provided below), Partner Events acknowledge and agree that funds pledged by Sponsors (referred to as "pledges") will only be released to them after the end of the Campaign set forth by the Partner Event. Funds will be released 10 business days after the end of the Campaign, unless there is additional verification required by Stripe.

6. By launching a Campaign, the Partner Event is offering the public the opportunity to enter into a contract with Title Owners that enroll to join the Campaign to provide pledges to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

7. A Partner Event is the solely responsible for inviting Title Owners to enroll to a Campaign on the Platform and for the accuracy of the identity of the Title Owner. On inviting the Title Owner to a Campaign, the Partner Event certifies that the Name and Email Address of the Title Owner is accurate, and the Title is a participant in the Event associated with the Campaign. Cinestruct will incur no liability in connection with the identity of the Title Owner invited by the Partner Event.

8. Cinestruct reserves the right to cancel a pledge at any time and for any reason. Cinestruct reserves the right to reject, cancel, interrupt, remove, or suspend a Title at any time and for any reason. Cinestruct is not liable for any damages as a result of any of the aforementioned actions.

9. The Partner Event Fee shall be no more than 10% of any Pledge transaction.

10. Cinestruct makes no guarantee regarding the number or amount of pledges, or the amount of any Partner Event Fee payout to be made to you or the Partner Event under this Agreement.

11. Any Partner Event Fee payout may be subject to verification of the identity of the Partner Event and the legitimacy of the Event. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Partner Event agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Partner Event or the legitimacy of the Event are not as represented on the Platform, the Partner Event will promptly refund the entire amount of Partner Event Fee to the Sponsors, including any fees deducted by Cinestruct.

12. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign.

B. Payment Failures

Because of occasional failures of payments from Sponsors, Cinestruct cannot and does not guarantee receipt or validity of any amount(s) pledged or provided to Partner Event. Cinestruct is neither responsible nor liable for the failure of a Sponsor to pay any amount pledged to a Title, and has no responsibility to take action on behalf of Title Owners, Partner Events, or otherwise for collections of payments from Sponsors that do not fulfill their payment obligations at any time. PLEASE READ THE FOLLOWING IMPORTANT RULES AND REQUIREMENTS, TO WHICH PARTNER EVENT AGREES TO BE BOUND:

IF A DISPUTE REGARDING A PLEDGE OCCURS, PARTNER EVENT WILL BE NOTIFIED THAT A DISPUTE HAS BEEN FILED. DEPENDING ON THE CARD ISSUER, DISPUTED FUNDS MAY BE IMMEDIATELY WITHDRAWN FROM THE STRIPE CONNECT ACCOUNT,  OR THE CONNECTED BACK ACCOUNT ALL IN ACCORDANCE WITH STRIPE’S TERMS OF SERVICE. IF DISPUTED FUNDS HAVE ALREADY BEEN TRANSFERRED TO PARTNER EVENT, DURING THE TIME WHEN ANY DISPUTE IS ONGOING, PARTNER EVENT AGREES NOT TO USE OR TRANSFER ANY OF THE FUNDS IN DISPUTE. IF THE SPONSOR’S DISPUTE IS FOUND VALID (WHICH MAY TAKE UP TO 60 DAYS OR LONGER), PARTNER EVENT SHALL BE REQUIRED TO RETURN THE DISPUTED FUNDS TO CINESTRUCT LLC IMMEDIATELY UPON REQUEST FOR SAME.

CINESTRUCT LLC IS NOT A GUARANTOR OF ANY PLEDGES MADE, AND SHALL NOT BE LIABLE OR HELD RESPONSIBLE FOR ANY FAILURE BY A SPONSOR TO HONOR A PLEDGE, REGARDLESS OF WHEN SUCH FAILURE OCCURS. IF SUCH A FAILURE OCCURS, PARTNER EVENT’S SOLE RECOURSE SHALL BE AGAINST THE SPONSOR THAT FAILED TO HONOR SUCH SPONSOR’S PLEDGE.

IF A PARTNER EVENT MAKES A PLEDGE TO A TITLE IN HIS/HER OWN CAMPAIGN, PARTNER EVENT MUST FULFILL THAT PLEDGE UPON THE SAME TERMS AS ANY OTHER SPONSOR.

C. When a Campaign is completed

1. Any Partner Event Fee payout may be subject to verification of the identity of the Partner Event and the legitimacy of the Event. The verification procedure may involve an interview and/or document review if deemed necessary and may vary from time to time in Cinestruct’s sole discretion. Partner Event agrees that if at any time while a Campaign period is open or within thirty (30) days after the close of a Campaign period, Cinestruct makes a good faith determination that the identity of the Partner Event or the legitimacy of the Event are not as represented on the Platform, the Partner Event will promptly refund the entire amount of Partner Event Fee to the Sponsors, including any fees deducted by Cinestruct.

2. Partner Event may not extend the Campaign after the Campaign is completed and without the approval of Cinestruct.

3. Cinestruct may change, amend, alter, or modify the rules regarding fundraising at any time. If you do not accept a change we make to the fundraising rules, your sole remedy shall be to terminate your Campaign.

4. Partner Event shall have full responsibility for applicable taxes for any Partner Event Fee payout under this Agreement, and for compliance with all applicable labor and employment requirements with respect to your self-employment, sole proprietorship or other form of business organization, and with respect to your employees and contractors, including state worker's compensation insurance coverage requirements and any U.S. immigration visa requirements. Partner Event agrees to indemnify, defend and hold harmless Cinestruct from any liability for, or assessment of, any claims or penalties with respect to such withholding taxes, labor or employment requirements, including any liability for, or assessment of, withholding taxes imposed on Cinestruct by the relevant taxing authorities with respect to any Partner Event Fee payout to you.

5. The Partner Event Fee payouts that are distributed from Cinestruct to Partner Event may be taxable, and the Partner Event bears the responsibility to file income tax returns and to pay income tax on Partner Event Fee if required. Cinestruct and/or the third-party payment processor, as applicable, will issue Form 1099 or Form 1099k to persons provided Partner Event Fee as it deems appropriate under applicable laws. Each Partner Event is required to submit to Cinestruct a W-9 Form in order to launch a Campaign. That form will reflect the full gross amount raised on the platform, Partner Events are advised to consult your tax advisor for more information on deducting site fees, credit card fees, etc; Cinestruct provides no tax or legal advice and none should be inferred by these Agreement or otherwise.

6. Cinestruct is not responsible for any error or omission in the payout information provided by a Partner Event. If fundraising is successful, Partner Event Fee, less Cinestruct’s fee, Title Funding, and any third-party processing fees, will be disbursed to the Partner Event’s bank account according to the Partner Event disbursement details (as set by Partner Event through Stripe).

IV. PARTNER EVENT CONDUCT

By using the Platform, you agree that you will not use it for anything that violates this Agreement or the law. You agree to only use the Platform in the ways it was intended for. You are responsible for all of your activity in connection with the Platform.

A. Your Actions and Content shall not, directly or indirectly:

1. Infringe any patent, trademark, service mark, trade secret, copyright, right of publicity, privacy right or other right of any other person or entity, or violate any applicable law or contract;

2. Be false, misleading, or inaccurate;

3. Be unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, tortious, obscene, offensive, profane, or invasive of another's privacy;

4. Constitute unsolicited or unauthorized advertising or promotional material or any junk mail, spam, or chain letters;

5. Contain software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password, or other information of Cinestruct or any third party;

6. Impersonate any person or entity, including any employee or representative of Cinestruct.

B. You agree not to tamper with the Platform by:

1. Taking any action that imposes or may impose (at Cinestruct’s sole discretion) an unreasonable or disproportionately large load on the infrastructure of Platform or its third-party providers;

2. Interfering or attempting to interfere with the proper working of the Platform or any activities conducted on the Platform;

3. Using any network monitoring or discovery software to determine the Platform’s architecture, or to extract information about usage or users;

4. Bypassing any measures We may use to prevent or restrict access to the Platform (or other accounts, computer systems, or networks connected to the Platform);

5. Deciphering, decompiling, disassembling, reverse engineering, or otherwise attempting to derive any source code or underlying ideas or algorithms of any part of the Platform, except to the limited extent applicable laws specifically prohibit such restriction and/or to the extent any such source code is open source;

6. Modifying, translating, or otherwise creating derivative works of any part of the Platform.

7. Copying, renting, leasing, distributing, or otherwise transferring any of the rights that you receive hereunder. You shall abide by all applicable local, state, national, and international laws and regulations.

V. LIMITATION OF LIABILITY

IN NO EVENT SHALL CINESTRUCT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE CINEVITE PLEDGE PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

VI. DISCLAIMER OF WARRANTIES

Cinestruct has no special relationship with or fiduciary duty to you of any kind whatsoever and specifically disclaims any such duties. You acknowledge that We have no duty to take any action regarding any of the following: (i) which Sponsors gain access to the Campaign; (ii) what Sponsors access through the Campaign; (iii) what effects the Campaign and related Titles may have on Sponsors; (iv) how Sponsors may interpret the Campaign and related Titles; or (v) what actions Sponsors may take as a result of having been exposed to the Campaign and related Titles.

THE CINEVITE PLEDGE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. CINESTRUCT, LLC, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK.

VII. GOVERNING LAW

This Agreement is governed by and construed in accordance with the laws of the state of California. Any disputes will be settled in Los Angeles County, California.

VIII. INTEGRATION AND SEVERABILITY

This Agreement is the entire agreement between you and Cinestruct with respect to the subject matter hereof (and thereof), and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Us and govern the future relationship between the parties hereto. If any provision (or portion thereof) of the Agreement are found to be unenforceable or invalid, such provision (or portion thereof) will be limited or eliminated to the minimum extent necessary so that the Agreement will otherwise remain in full force and effect and enforceable to the maximum legal extent. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

IX. CHANGES TO THIS AGREEMENT

Cinestruct reserves the right to modify this Agreement at any time, effective upon posting of an updated version of this Agreement on the Platform. You are responsible for regularly reviewing this Agreement.
BY CONTINUING TO USE THE CINEVITE PLEDGE PLATFORM AFTER ANY SUCH CHANGES, YOU ACCEPT THE AGREEMENT AS MODIFIED.

8. “Processing Fee“ refers to a mandatory service fee added to each Pledge transaction made by a Sponsor.

9. “Platform Fee“ refers to an optional fee that can be added to or removed from each Pledge transaction made by a Sponsor.

II. SPONSOR RULES

The following rules are applicable to Sponsors who hereby agree to be bound by same, in addition to all other rules and regulations applicable to Users under this Agreement:

A. Sponsoring a Title

1. Cinestruct provides Users the opportunity to make Pledges to any Title listed on the Cinevite website during its designated Campaign. The User that makes a Pledge is deemed the “Sponsor.“

2. Sponsors agree to provide their payment information at the time they pledge to a Title as required by Cinestruct and/or any Cinestruct approved third-party payment processors (such as Stripe).

3. A Sponsor can make a Pledge in an amount no greater than $500.00 per transaction. At the time when the Pledge is made, a third-party payment processor will add the Sponsor’s required credit card, or debit card, or other payment information to its payment system, as applicable.

4. Sponsors agree to authorize Cinestruct and it’s third-party payment processors to charge on Sponsor’s payment card or other payment method for an amount up to the full pledge plus any associated fees immediately upon submission of the Pledge and to have sufficient funds or credit available to complete the transaction.

5. By submitting a Pledge to a Title, the Sponsor is entering into a contract with Title Owner to provide a Pledge to the Title. Cinestruct is not a party to that agreement between the Title Owner and the Sponsor.

6. Sponsors agree that all Pledges are made voluntarily and at the sole discretion and risk of the Sponsor.

7. Sponsors agree to bear the sole responsibility for determining how to treat their Pledge for tax purposes. Cinestruct does not offer any advice or take any responsibility for how Sponsors treat there Pledges or for any financial consequences arising out of such treatment.

8. Sponsors agree that a Pledge does not:

   1. Give the Sponsor any rights in or to the Title, including without limitation any ownership, control, equity, investment or distribution rights;

   2. Give the Sponsor any rights to limit the ability of the Title Owner to solicit other funding for the Title, enter into contracts for the Title, allocate rights in or to the Title or direct the Title or Title Owner in any way;

   3. Give the Sponsor any rights to view, distribute, license, or otherwise screen the Title.

   4. Give the Sponsor any rights to restrict or otherwise limit Cinestruct's right to enter into agreements or business relationships relating to Titles, or provide the Sponsor any rights in and to Cinestruct, Cinevite, or Cinevite Pledge. The only rights provided to the Sponsor upon making a Pledge are as specifically set forth herein.

   5. Grant the Sponsor any rights to demand a refund from Cinestruct, the Partner Event, or the Title Owner.

9. Cinestruct reserves the right to cancel a Pledge at any time and for any reason.

B. Refund of Pledges

1. Sponsors acknowledge and agree that once a Pledge is made to a Title on the Cinevite website, it is final and non-refundable. This policy is applicable regardless of the outcome, success, or failure of the specific Title to which the Pledge was made.

2. Sponsors understand that making a Pledge carries inherent risks, including but not limited to the risk that the Title may not reach its funding goal or may not meet the Sponsor's expectations. Sponsors agree that these risks are borne solely by the Sponsor, and that these factors do not entitle the Sponsor to any refund.

3. While Cinestruct reserves the right to cancel a Pledge at any time and for any reason, this cancellation does not imply a right to refund for the Sponsor. Cinestruct will make every effort to return the contributed amount to the Sponsor in the event of a Pledge cancellation.

C. Pledge fees

Every Pledge made by a Sponsor is subject to a required Processing Fee. This fee is imposed to cover the costs associated with processing the Pledge submission, including but not limited to transaction handling, payment processing, and operational expenses. The Processing Fee is payable by the Sponsor at the time of making the Pledge and is additional to the Pledged amount.

In addition to the Processing Fee, there is a Platform Fee associated with each Pledge. This Platform Fee is meant to support the operational costs of the Cinevite platform and is deducted from the pledged amount before it is paid out to the Title Owner.

1. Sponsors have the option to cover the Platform Fee themselves. By choosing to pay this fee, the Sponsor ensures that 100% of the Pledge is directed towards the Title, without any deductions for the Platform Fee. This option can be selected before the Sponsor finalizes their Pledge submission.

2. Before a Sponsor submits a Pledge, a detailed breakdown of the Processing Fee and the optional Platform Fee will be provided. This ensures that Sponsors are fully aware of the total cost of their Pledge, including how much of their contribution will go directly to the Title after fees are applied.

3. Upon submission of a Pledge, the Sponsor will receive a confirmation detailing the total amount charged, including the Pledge amount, Processing Fee, and any Platform Fee covered by the Sponsor. This confirmation serves as a receipt of the transaction and a record of the Sponsor’s contribution.

4. The Processing Fee, once paid by the Sponsor, is non-refundable, irrespective of any Pledge cancellations. Sponsors acknowledge and agree that the Processing Fee is part of the cost of participating in the funding process on Cinevite Pledge.

D. Sponsor recognition

Upon submission of a Pledge, the amount pledged by a Sponsor will be displayed publicly on the Cinevite website. This is to acknowledge the contributions made by Sponsors to Titles and to promote transparency in the funding process.

1. If a Sponsor wishes to remain anonymous, they must select the option to 'Sponsor anonymously' before submitting their pledge. Once this option is selected, the Sponsor’s name will not be publicly associated with the Pledge amount displayed on the website.

2. Sponsors have the option to display a message publicly with their contribution. Cinestruct reserves the right to review and remove any messages that are deemed inappropriate, offensive, or in violation of the terms of this Agreement or any applicable laws.

3. Sponsors agree that all messages displayed with their Pledge will not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable material. Sponsors are solely responsible for the content of their messages.

4. Sponsors have the option to make a Pledge on behalf of another person or entity. In doing so, Sponsors must agree and ensure that they are truthfully representing that the Pledge is made in the name of the stated person or entity. Misrepresentation in this regard may lead to the cancellation of the Pledge and potential legal action.

5. By choosing to display a message or make a Pledge in the name of another person or entity, Sponsors acknowledge that this information will be publicly displayed on the Cinevite website and may be accessible to other users and the general public.

6. Cinestruct reserves the right, at its sole discretion, to refuse or remove any Sponsor recognition, including messages or mentions, that it deems inappropriate, misleading, offensive, or in violation of any terms of this Agreement or applicable laws.

IN NO EVENT SHALL CINESTRUCT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF CINEVITE PLEDGE PLATFORM, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY.

IV. DISCLAIMER OF WARRANTIES

THE CINEVITE PLEDGE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. CINESTRUCT, LLC, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK.

V. GOVERNING LAW

This Agreement is governed by and construed in accordance with the laws of the state of California. Any disputes will be settled in Los Angeles County, California.

VI. INTEGRATION AND SEVERABILITY

This Agreement is the entire agreement between you and Cinestruct with respect to the subject matter hereof (and thereof), and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Us and govern the future relationship between the parties hereto. If any provision (or portion thereof) of the Agreement are found to be unenforceable or invalid, such provision (or portion thereof) will be limited or eliminated to the minimum extent necessary so that the Agreement will otherwise remain in full force and effect and enforceable to the maximum legal extent. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

VII. CHANGES TO THIS AGREEMENT

Cinestruct reserves the right to modify this Agreement at any time, effective upon posting of an updated version of this Agreement on the Platform. You are responsible for regularly reviewing this Agreement.
